Terms of Service

1. Acceptance of Terms

By accessing or using any service provided by Toolkit CLI LLC (“tk_”, “we”, “us”), including toolkit-llm.com and all associated product domains, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Service Description

tk_ is an AI platform that provides intelligent assistants across 14 verticals, serving 172 geographic regions. Our services include web-based chat interfaces, API access, and specialized AI products powered by a variety of language models.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will provide reasonable notice for material changes.

3. Account Registration

  • Accounts are created and managed through Clerk. You are responsible for maintaining the security of your account credentials.
  • You must be at least 13 years old to create an account.
  • You must provide accurate and complete information during registration and keep it up to date.
  • You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to:

  • Use the service to generate, store, or transmit illegal content.
  • Engage in automated scraping, crawling, or data extraction beyond authorized API usage.
  • Attempt to reverse-engineer, decompile, or extract our models, model weights, or proprietary algorithms.
  • Circumvent rate limits, access controls, or other technical restrictions.
  • Use the service to harm, harass, or impersonate others.
  • Resell or redistribute API access without written authorization.

5. Pricing and Billing

tk_ offers five service tiers: Free, Starter, Pro, Business, and Enterprise. Each tier includes specific rate limits, model access, and features as described on our pricing page.

  • Paid plans are billed through Stripe on a monthly or annual basis.
  • Credits are consumed per-request based on model and token usage. Unused credits do not roll over unless specified by your plan.
  • Refunds are not provided for credits that have been consumed. Unused prepaid credits may be refunded within 14 days of purchase.
  • We reserve the right to modify pricing with 30 days' notice. Active subscriptions will be honored until the end of the current billing period.

6. Intellectual Property

The tk_ name, logo, product names, and all associated trademarks are the property of Toolkit CLI LLC. The platform's source code, model configurations, routing algorithms, and infrastructure design are proprietary.

You retain full ownership of all content you create using our services. Prompts you write and outputs you generate belong to you. We claim no ownership over your content.

7. API Usage

  • API access is subject to the rate limits of your plan tier. Exceeding rate limits will result in throttled requests.
  • API keys are confidential. You are responsible for securing your keys and rotating them if compromised.
  • Fair use applies. Sustained high-volume usage that degrades service for other users may result in temporary throttling or account review.
  • Internal model names, routing configurations, and infrastructure details are trade secrets and must not be disclosed.

8. Limitation of Liability

To the maximum extent permitted by law, tk_ and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the service.

Our total liability for any claim related to the service shall not exceed the amount you paid us in the 12 months preceding the claim.

AI-generated content is provided “as is” without warranty. You are responsible for reviewing and validating all outputs before relying on them for decisions.

9. Termination

  • We may suspend or terminate your account for violation of these terms, with notice when practicable.
  • You may delete your account at any time through your account settings. Upon deletion, your data will be permanently removed within 30 days.
  • Upon termination, your right to use the service ceases immediately. Sections 6, 8, and 10 survive termination.

10. Changes to Terms

We may update these terms from time to time. For material changes, we will notify you via the email address associated with your account at least 14 days before the changes take effect. Continued use of the service after changes take effect constitutes acceptance.
